Chapter 2 - The Emergency Injunction

At nine o'clock the following morning, the executive boardroom of Vance-Sterling Biotech was filled with the low, nervous murmur of corporate directors and legal advisors. Julian sat at the head of the massive mahogany table, dressed in a bespoke charcoal suit that radiated authority and manufactured grief. Beside him sat Diane Frost, her iPad open to a series of financial spreadsheets that she was eager to present to the board.
"Ladies and gentlemen," Julian began, his voice dropping into a somber, theatrical cadence that he had perfected over years of public speaking. "As you all know, my wife, Clara, suffered a devastating, catastrophic accident at our estate yesterday morning. The doctors have informed me that her neurological and physical trauma is severe. While we all pray for a miracle, the reality is that she will be incapacitated for the foreseeable future, incapable of fulfilling her executive duties or managing her majority voting shares."
He paused, bowing his head for a brief, calculated moment of silence before gesturing to Diane. "In accordance with our corporate bylaws and the emergency medical power of attorney signed in the presence of hospital staff last night, I am officially assuming interim control of Clara’s forty-five percent voting bloc. This will allow us to finalize the merger with the Sterling conglomerate without unnecessary administrative delays."
A few board members nodded sympathetically, murmuring their condolences. But before Diane could slide the formal voting transfer resolutions across the table, the heavy oak doors of the boardroom swung open with a resounding thud.
Beatrice Sterling walked into the room, surrounded by three senior corporate litigators from the city's most ruthless law firm. At seventy-two years old, Beatrice moved with the straight-backed, intimidating elegance of a queen who had just caught a thief in her royal treasury. She didn't look at the board members; her piercing blue eyes locked directly onto Julian’s pale face.
"You will not be voting on anything today, Julian," Beatrice said coldly, her voice cutting through the silent room like a serrated blade. She gestured to her lead attorney, who dropped a thick stack of legal filings directly onto the center of the mahogany table.
"What is the meaning of this, Beatrice?" Julian demanded, standing up from his chair, his face flushing with sudden anger. "This is a closed executive session! You have no authority to interrupt a board vote!"
"I have every authority when the acting CEO is attempting to commit financial fraud using fraudulent medical directives," Beatrice replied smoothly, taking a seat at the opposite end of the table. "Ten minutes ago, a federal district judge granted an emergency temporary restraining order freezing every single personal, corporate, and offshore account associated with Julian Vance and Diane Frost."

Diane’s pen dropped from her fingers, clattering loudly against the polished wood. "A freeze? On what legal grounds?" she stammered, her usual icy composure fracturing.
"On the grounds of an ongoing forensic investigation by the United States Department of Justice into multi-million-dollar wire fraud and money laundering," Beatrice said, offering Julian a cold, victorious smile. "Furthermore, the medical power of attorney you presented to this board is legally void. Clara amended her master trust stipulations six months ago. Any transfer of her voting rights during physical incapacitation requires my explicit co-signature—a signature you will never receive, Julian. Your merger is dead, and your accounts are locked. I suggest you call your defense attorneys before the morning is over."
